Licence Agreement
Licence:	LICENSE AGREEMENT Introductory provision This license agreement (the "Agreement") is concluded between an individual person or a single legal entity as the end user ("You" or the "User") and company CaverSoft s.r.o., IC 292 88 266, registered office Brno - Medlanky, Nadacni 581, PSC 621 00, Czech Republic (the "Author") (together also as "Contracting parties"). You accept and agree to be bound by all terms of this Agreement by installing, copying, downloading, accessing or otherwise using the Software Product specified below. You confirm that you agree with all rights and obligations and you understand the terms of the contract. If You do not agree to the terms of this agreement, do not install, access or use the Software Product. 1. Subject of the License The subject of the license is Software CAVER Analyst (hereinafter referred to as "Product"). The Software Product also includes any software updates, add-on components, web services and/or supplements that Author may provide to You or make available to You after the date You obtain Your initial copy of the Software Product to the extent that such items are not accompanied by a separate license agreement or terms of use. The Author declares that he is the sole owner of the property rights to the Product and also declares, that he is not known about any third party's copyright, patent or other intellectual property rights that will contravene the Product and that you will be entitled to use the Product upon fulfilling the stipulated conditions. Title to and ownership of the Product and all enhancement, modifications and updates of the Product belongs to the Author. 2. The purpose of the Agreement The purpose of this Agreement shall be an agreement of contracting parties on the terms and conditions under which you may use the Product and the agreement between the Contracting Parties on granting the License. The subject-matter of this Agreement particularly shall be to grant to you the right to use the Product during the life of the Agreement and under the terms and conditions set forth herein and particularly the obligation of you to accept the License under the terms and conditions set out herein and pay the license fee. 3. License Author grants you a nonexclusive, worldwide license to install and use Product on one single user computer in its possession. A license to the software Product allows the software product to be used locally on one specific computer system. When using a static license only a single instance of the software product can be running at any given time. 4. Terms and Conditions of Use This Agreement entitles you to install and use one copy of the Product. This agreement does not permit the installation or use of multiple copies of the product, or the installation of the Product on more than one computer at any given time, on a system that allows shared used of applications, on a multi-user network, or on any configuration or system of computers that allow multiple users. Without first obtaining the express written consent of Author, you may not assign your rights and obligations under this Agreement, or redistribute, encumber, sell, rent, lease, sublicense, or otherwise transfer your rights to the Product. You may not modify, translate, reverse engineer, decompile, or disassemble the Software Product 5. Trial version You may use the trial version of Product, which is provided free of charge (for the term 30 days for commercial users, 1 year for academic user). Using automatically ends after a period of 30 days of use the Trial version of the Product. You may not use the same trial version repeatedly. 6. License fee You are obligated to pay Author the license fees based on Price list of the Author available on the webpage www.caversoft.com. 7. The term and termination of the Agreement This agreement is concluded for 1 year period and it can be extended automatically for the same period. User will be notified three (3) months prior to termination about the terms and conditions of prolongation. . Author shall have the right to immediately withdraw from the agreement in the event of your breach of any obligation stipulated by Agreement or if you became bankrupt or insolvent. In such event, You must destroy all copies of the Software Product and all of its component parts. 8. Warranty The Author provides a full warranty for the Product regarding its quality and functionality for the period of 24 months, beginning with the date of installation of the Product. Warranty does not cover defects caused by your incorrect or improper use of the Product. You should send the notification of warranty defects to e-mail address of the Author info@caversoft.com. Author undertakes to remedy warranty defects at its own expense within 30 days of your written notification of warranty defects delivered to author. 9. Liability limitation Author is not liable for any kind of your damages or losses caused by Product. This clause does not affect the rights of consumers resulting from generally applicable law. 10. Governing Law and Jurisdiction If the relationship based on this Agreement includes an international element, the Contracting parties agree that this relation is governed by Czech law. All disputes between the Contracting Parties arising out of the provisions of this Agreement or in connection with shall be settled by respective court of the Czech Republic. 11. Support service The Author undertakes to provide you both an update services and hotline support. Update service consists of new releases, corrections, enhancements and improvements to the current version of the Software and related documentation during the applicable maintenance period. Hotline support consists of commercially reasonable telephone and electronic mail assistance and consultation to assist User in resolving problems with the use of the Software, including correction of defects in the Software. Update service does not include new versions of the Software, these must be licensed and purchased separately by the User.
